Lister Agreement

This Lister Agreement is between Unclogmind ("Unclogmind," "we") and you ("Lister," "you"), an independent seller who pays to list clothing for sale on the Unclogmind website. By paying a listing fee, creating a listing, or continuing to sell through Unclogmind, you agree to this Lister Agreement, in addition to Unclogmind's Terms of Service, which also apply to you.

1. Independent relationship

You are an independent seller, not an employee, partner, joint venturer, or agent of Unclogmind. You are solely responsible for your own business, including any taxes, licenses, or registrations required to sell clothing where you operate and where you ship to.

2. What you're responsible for

As the Lister, you are solely responsible for:

• The accuracy of your listings, including descriptions, sizing, materials, and photos
• The quality, safety, and legality of every item you sell
• Agreeing a price and payment method directly with the buyer, collecting payment yourself, and issuing any refund you agree to
• Packing, fulfilling, and shipping every order you receive
• Handling damaged, defective, missing, or misdescribed items, and any refund or replacement owed under Unclogmind's Terms of Service
• Responding to buyer questions and order issues in a timely way, including through the WhatsApp number or other contact details you provide for your listings

3. Shipping is limited to Africa

You may only accept, fulfill, and ship orders with a delivery address within Africa. You must not ship an order to an address outside Africa, including by using a freight-forwarding or reshipping service to work around this limit, whether requested by a buyer or done on your own initiative. Because deals are agreed directly between you and the buyer rather than through a checkout, Unclogmind has no way to see or block a delivery address at the point of sale, so this obligation rests entirely on you.

If you ship an order outside Africa in violation of this section, that shipment is your own independent act, outside the scope of your listing agreement with Unclogmind. You are solely responsible for it, and you agree to indemnify and hold Unclogmind harmless from any claim, cost, fine, tax, duty, or expense arising from it, including any claim brought under the consumer protection laws of the destination country. Unclogmind may remove your listings or terminate your account if we become aware of a violation of this section, based on a buyer report or otherwise.

4. Listing fees

You pay Unclogmind a flat listing fee to display your products on the site, as shown at the time you list. Unclogmind does not process, collect, or have any visibility into payments between you and buyers, and does not take a percentage or commission on sales you make. Listing fees are non-refundable once a listing has gone live, except where required by law.

Because you collect payment directly from buyers, you are solely responsible for any payment processing fees, fraud, chargebacks, or non-payment that arise from that arrangement, and for meeting any tax obligations on income you earn through your sales.

5. Prohibited items and conduct

You may not list counterfeit, stolen, unsafe, or illegal goods, or items that infringe someone else's trademark, copyright, or other rights. You may not misrepresent your products, manipulate reviews, harass or pressure buyers, or use a buyer's contact details for anything beyond completing their order.

6. Suspension and removal

Unclogmind may suspend or remove a listing, or suspend or terminate your account, if you violate this Agreement, ship outside the permitted area described in section 3, or engage in fraudulent, unsafe, or illegal conduct. Where reasonably possible, we'll tell you why. Fees already paid for a removed listing are non-refundable where the removal was due to your violation of this Agreement.

7. Indemnity and liability

In addition to section 3, you agree to indemnify and hold Unclogmind harmless from any claim, cost, loss, or expense arising from your products, your listings, or your conduct as a Lister, including any claim brought by a buyer. Unclogmind is not liable to you for any indirect, incidental, or consequential damages arising from your use of the platform, to the fullest extent permitted by law.

8. Accepting this Agreement

You accept this Agreement when you complete the Lister sign-up process and pay your first listing fee. We may update this Agreement from time to time; continuing to sell on Unclogmind after an update means you accept the revised Agreement.

9. Governing law

This Agreement is governed by the laws of the Federal Republic of Nigeria.
